1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer") and Keepr Tech LLC, a Pennsylvania limited liability company ("Keepr," "we," "us," "our"). By creating an account, accessing, or using the Keepr service (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Keepr provides a customer-communication platform that helps home-services businesses respond to missed calls through automated and two-way SMS messaging, manage customer conversations, and maintain customer history. The Service is offered on a subscription basis as described on our pricing page.

3. Eligibility and Account

You must be at least 18 years old and legally capable of entering a binding contract to use the Service. You agree to provide accurate, complete, and current information when creating your account, and to keep that information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

4. Subscriptions, Billing, and Cancellation

Subscriptions are billed monthly in advance. By providing a payment method, you authorize Keepr to charge that method for all subscription fees, setup fees, applicable taxes, and any other charges incurred. Fees are non-refundable except where required by law. You may cancel your subscription at any time through your account; cancellation takes effect at the end of the current billing period, and you will retain access until that date. We may change our prices on thirty (30) days' written notice; price changes take effect at the start of the next billing period after notice.

5. Setup Fees

A one-time setup fee, as disclosed at signup, covers account provisioning, configuration of call-forwarding and caller-ID masking, A2P 10DLC sub-Campaign submission, and a guided onboarding call. Setup fees are non-refundable once setup work has begun.

6. Customer Responsibilities

You are solely responsible for: (a) the content of all messages sent through the Service under your account; (b) obtaining all necessary consents from the individuals you communicate with, in accordance with applicable law (including the TCPA, CAN-SPAM, and CTIA messaging guidelines); (c) complying with all carrier and regulatory requirements, including 10DLC registration and approved use cases; and (d) ensuring that your use of the Service complies with all applicable laws.

7. Acceptable Use

You agree not to use the Service to: send unsolicited or unauthorized messages; send content that is unlawful, fraudulent, harassing, threatening, obscene, hateful, or otherwise objectionable; impersonate any person or entity; transmit malware or harmful code; interfere with or disrupt the Service or its infrastructure; attempt to gain unauthorized access to the Service or other accounts; or use the Service to compete with Keepr or to build a competing product. We may suspend or terminate accounts that violate this section.

8. SMS and Call Forwarding

The Service includes SMS messaging functionality and conditional call forwarding configuration. By enabling these features, you authorize Keepr to provision a dedicated messaging number on your behalf, to send and receive messages associated with your account, and to display your existing business number as the sender on outbound messages where supported. Message and data rates may apply. Carriers are not responsible for delayed or undelivered messages. See our SMS Terms for full messaging policies.

9. Customer Data

You retain ownership of customer data you upload to or generate through the Service ("Customer Data"). You grant Keepr a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service. We will handle Customer Data in accordance with our Privacy Policy. You represent that you have all necessary rights and consents to share Customer Data with us.

10. Intellectual Property

Keepr and its licensors own all right, title, and interest in and to the Service, including all software, designs, trademarks, and content (excluding Customer Data). These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

11. Third-Party Services

The Service integrates with third-party services, including but not limited to GoHighLevel, Twilio, Stripe, and SMS carriers. Your use of those services is governed by their respective terms. Keepr is not responsible for the availability, accuracy, or performance of third-party services.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPR AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. KEEPR'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO KEEPR IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Keepr Tech LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party, including any messaging recipient; or (d) your Customer Data.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Entire Agreement and Severability

These Terms, together with our Privacy Policy and SMS Terms, constitute the entire agreement between you and Keepr Tech LLC regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

18. SMS Communications and Opt-Out

By providing your phone number through our chat widget, you consent to receive SMS messages from Keepr Tech LLC. You may opt out of any SMS communications at any time by replying STOP to any message we send. After replying STOP, you will receive one final confirmation message and no further messages, unless you opt back in. For help, reply HELP or contact us at (412) 413-9979 or support@getkeepr.net.
